Corporate governance comprises all of the activities of a corporation that relate to the legal structure of the board and the compliance of the company with state and federal laws. Corporate governance is most closely related to the duty of care, duty of loyalty and duty of judgment owed by the corporate board to the company. But corporate governance also involves the process by which the company elects the board, the relationships between the company and its shareholders and the whole range of federal and state compliance with securities, employment, environmental, regulatory and other laws.
