A business plan is a standard document needed by virtually every business, especially it is wishes to raise capital or get a bank loan. A business plan explains the idea behind the business, introduces the management team, discusses the business markets involved, analyzes the competition and provides a financial summary and plan. Most investors require a good plan to seriously consider investing. When a business desires to raise money from many potential investors, in several states, it must file a document similar to the business plan called a private placement memorandum. This document, required in many cases by federal and state law, has many of the elements of the business plan, but also has more information about the possible risks of investing and the exact type of stock ownership the investor will receive. Many companies write a business plan without the direct assistance of a lawyer. However, with so many legal issues involved, it is wise to have an attorney review your business plan and extremely important to have an attorney draft or at least review a private placement memorandum.
