Corporate law is a term that refers to the broad range of issues that deal most closely with corporate compliance with federal, state and even local law. Most corporate law firms help companies comply with diverse issues such as employment law, environmental law, trade law and OSHA regulation. However, the core competence for a corporate law firm is in securities law. This is the large body of federal and state law that regulates corporate fundraising, investment, lending and record keeping required by the Securities & Exchange Commission and state governmental bodies. Companies that fail to comply with corporate law requirements are often fined heavily by state or federal agencies and suffer embarrassing public scrutiny. In the worst case of corporate law violation the executives themselves may be fined or even imprisoned.
